Affiliate Partner Program Policy

By submitting a registration request, accepting program terms on the Affiliate Partner Portal, or actively promoting Techforest’s services using a referral link or referral code, you agree to be bound by this Policy in full. If you do not agree, you must not register as, or hold yourself out as, a Techforest Affiliate Partner.

Registration as an Affiliate Partner is free and open to individuals and entities who meet Techforest’s eligibility criteria, which may include being at least 18 years of age, having the legal capacity to enter into a binding agreement, and providing accurate registration details. No prior sales experience is required to join the Program.

Techforest reserves the right to accept, reject, suspend, or terminate any Affiliate’s registration at its sole discretion, including where registration information is incomplete, inaccurate, or where Techforest reasonably believes the applicant may misuse the Program.

This list is illustrative only and may be updated by Techforest from time to time. Affiliates should refer to the Affiliate Partner Portal for the current list of promotable services.

Upon successful registration, each Affiliate is issued a unique referral link and a unique referral code through the Affiliate Partner Portal. These identifiers must be used to attribute referrals to the Affiliate’s account. Techforest is not responsible for commissions lost due to an Affiliate’s failure to use their assigned referral link or code, or due to a referred client bypassing the link/code entirely.

Affiliates may not generate, request, or use a referral link/code on behalf of another person without Techforest’s written consent, and may not register themselves, family members, or related entities as a “referred client” for the purpose of generating self-commissions.

Subject to availability, Techforest provides the following resources to support Affiliates in promoting its services:

• Service catalog
• WhatsApp message templates
• Social media creatives
• Email templates
• Sales support and guidance

Partner resources are provided for the sole purpose of promoting Techforest’s services in accordance with this Policy and remain the intellectual property of Techforest, as further described in Section 14 (Intellectual Property).

The Affiliate Partner Program operates as follows:

• Step 1: Register as an Affiliate Partner through the Affiliate Partner Portal.
• Step 2: Receive your unique referral link and referral code.
• Step 3: Share Techforest’s services with your network via WhatsApp, social media, email, or other appropriate channels.
• Step 4: When a referred client makes a qualifying purchase of Techforest’s services using your referral link/code, a commission is recorded to your account, subject to verification.
• Step 5: Receive payouts directly to your registered bank account or UPI ID, in accordance with the payment terms in Section 8.

Commissions are calculated as a percentage of the net amount actually collected by Techforest from a referred client for an eligible Service, exclusive of taxes, refunds, chargebacks, and any discounts. The applicable standard commission rate, and any service-specific variations, will be communicated to Affiliates through the Affiliate Partner Portal and may be updated by Techforest from time to time on a prospective basis.

In addition to the standard commission, Affiliates may qualify for performance-based bonus commissions based on cumulative referred sales, as set out below:

Tier status and associated bonus commissions are calculated based on cumulative verified referred sales within the period defined by Techforest on the Affiliate Partner Portal, and are subject to change at Techforest’s discretion on a prospective basis. Tier benefits are not guaranteed and do not accrue retroactively to sales made prior to attaining a given tier.

Affiliate commissions are subject to the following payment terms:

• Commission Payable: Commissions become payable only once the underlying client payment has been received in full by Techforest and the applicable refund/chargeback review period (if any) has lapsed.
• Monthly Processing: Verified commissions are processed and reconciled on a monthly basis, as per the schedule published on the Affiliate Partner Portal.
• Minimum Payout Threshold: A minimum accumulated balance of ₹1,000 is required before a payout is released. Balances below this threshold will be carried forward to the next payout cycle.
• Payout Methods: Payments are made via bank transfer or UPI to the bank account/UPI ID registered by the Affiliate on the Affiliate Partner Portal. Techforest is not responsible for failed or delayed payouts resulting from incorrect or outdated payment details provided by the Affiliate.
• Aligned Payment: Payouts are aligned to the verified, net-of-deduction commission balance reflected in the Affiliate’s dashboard at the time of processing.
• Client Payment Dependency: No commission is payable in respect of any referred transaction that is cancelled, refunded, charged back, or otherwise not collected in full by Techforest, consistent with Techforest’s zero-refund policy on its own Services.

Affiliates are solely responsible for any tax obligations (including income tax, GST registration, or TDS compliance) arising from commissions received under this Program. Techforest may deduct applicable TDS from payouts where required by law and will provide supporting documentation upon reasonable request.

Subject to this Policy, Affiliates may access the following Program benefits:

• Free registration
• Lifetime referral tracking on registered referral links/codes, for as long as the Affiliate’s account remains active and in good standing
• Monthly payouts, subject to the minimum payout threshold
• Marketing materials provided via the Affiliate Partner Portal
• Dedicated support for Program-related queries
• Real-time performance dashboard to track referrals and commissions
• No sales experience required to participate
• Uncapped earnings potential, subject to performance and the terms of this Policy

References to “unlimited earnings potential”, “lifetime tracking”, and similar marketing language describe the structural design of the Program and do not constitute a guarantee of any specific income, referral volume, or duration of tracking, which remain subject to this Policy, including Sections 12 (No Guarantee of Earnings) and Section 17 (Suspension & Termination).

Affiliates agree to promote Techforest’s services honestly, lawfully, and in a manner consistent with this Policy. Affiliates must NOT:

• Make false, misleading, or exaggerated claims about Techforest’s services, pricing, results, or guarantees
• Engage in spam, unsolicited bulk messaging, or misleading advertising on any platform, including WhatsApp, email, or social media
• Bid on Techforest’s trademarked terms (including “Techforest”) in paid search advertising without prior written consent
• Use cookie-stuffing, incentivized clicks, bots, or other artificial means to generate referrals or commissions
• Misrepresent their relationship with Techforest as an employee, director, or official representative
• Use Techforest’s brand assets, logos, or partner resources in a manner inconsistent with the materials and guidelines provided
• Register self-referrals, related-party referrals, or fraudulent transactions to generate commissions

Violation of this Section may result in forfeiture of unpaid commissions, suspension, or termination under Section 17, without any liability to Techforest.

Affiliates must comply with applicable advertising disclosure requirements, including those of the Advertising Standards Council of India and platforms such as Google and Meta, when promoting Techforest’s services using affiliate links. This includes clearly disclosing, where the platform or context requires it, that a link is an affiliate/referral link through which the Affiliate may earn a commission. Affiliates are independently responsible for compliance with disclosure obligations applicable to their own promotional activities and platforms.

Any reference to commission rates, bonus tiers, sample earnings, or success stories on the Affiliate Partner Portal or in Techforest’s marketing materials is illustrative only and NOT a guarantee of income. Actual earnings depend on factors outside Techforest’s control, including the Affiliate’s own efforts, network, market conditions, and client conversion. Techforest makes no representation or warranty regarding the income any Affiliate may earn under this Program.

Nothing in this Policy creates an employment, agency, joint venture, or partnership relationship between Techforest and any Affiliate. Affiliates act solely as independent referral partners and have no authority to bind Techforest, make representations on Techforest’s behalf (beyond promoting Services using approved partner resources), or enter into contracts in Techforest’s name.

All partner resources, brand assets, logos, marketing brochures, service catalogs, templates, and creatives provided to Affiliates remain the exclusive property of Techforest and are licensed to Affiliates on a limited, non-exclusive, non-transferable, revocable basis solely for promoting Techforest’s services under this Program. Affiliates may not modify Techforest’s brand assets in a misleading manner, claim ownership of such materials, or use them after termination of their Affiliate status.

Affiliates agree to keep confidential any non-public information shared by Techforest in connection with the Program, including commission structures, internal tools, partner resources not intended for public distribution, and any client information that may be disclosed in the course of the relationship, and to use such information solely for purposes of the Program.

Personal information collected from Affiliates during registration and participation in the Program is processed in accordance with Techforest’s Privacy Policy, which is incorporated herein by reference. Affiliates who receive personal information about referred clients in the course of the Program (where applicable) must handle such information in compliance with the Digital Personal Data Protection Act, 2023 and must not use it for any purpose beyond facilitating the referral.

Techforest may suspend or terminate an Affiliate’s participation in the Program, with or without notice, at its sole discretion, including for breach of this Policy, suspected fraud, prohibited conduct under Section 10, prolonged inactivity, or where Techforest discontinues or restructures the Program. Upon termination, the Affiliate’s referral link/code will be deactivated, and any commissions already verified and payable as of the termination date will be processed in the next applicable payout cycle, subject to this Policy; no further commissions will accrue after the termination date.

An Affiliate may voluntarily withdraw from the Program at any time by providing written notice to Techforest. Withdrawal does not entitle the Affiliate to any payment beyond commissions already verified and payable as of the withdrawal date.

ZERO-REFUND POLICY: The Affiliate Partner Program is free to join, and no fee is charged to Affiliates for registration or participation. Accordingly, no refund obligation arises under this Program. Where any optional paid resource, premium toolkit, or training is offered to Affiliates in the future, payments for such offerings shall be FINAL and NON-REFUNDABLE, consistent with Techforest’s zero-refund policy under its Website Terms & Conditions.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TECHFOREST SHALL HAVE ZERO LIABILITY to any Affiliate for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profit, anticipated commissions, business opportunity, or goodwill, arising out of or in connection with this Policy, the Affiliate Partner Program, any change to commission structures or tiers, any suspension or termination of an Affiliate’s account, or any technical issue affecting referral tracking, regardless of the legal theory asserted, and even where Techforest has been advised of the possibility of such damages. Techforest’s sole and exclusive obligation to an Affiliate under this Policy is limited to payment of duly verified, earned, and payable commissions in accordance with Section 8. Where liability cannot be lawfully excluded in full, Techforest’s aggregate liability to an Affiliate shall not exceed the total verified commission amount payable to that Affiliate as of the date the claim arises.

The Affiliate agrees to indemnify, defend, and hold harmless Techforest, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from the Affiliate’s breach of this Policy, misrepresentation of Techforest’s services, unlawful promotional conduct, or violation of any third-party or platform terms in the course of promoting Techforest’s services.

Techforest reserves the right to modify, update, or replace this Policy, including commission rates, tier structures, payout thresholds, and Program benefits, at any time, at its sole discretion. Changes take effect immediately upon publication on the Affiliate Partner Portal or the Website, on a prospective basis. Continued participation in the Program after such changes constitutes acceptance of the revised Policy. Material changes affecting accrued, unpaid commissions will not be applied retroactively to commissions already verified as payable.

This Policy is governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to this Policy or the Affiliate Partner Program shall first be addressed through good-faith negotiation and, if unresolved, shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat and venue of arbitration in India, consistent with the dispute resolution provisions of Techforest’s Website Terms & Conditions.
